Start with your practice, your license, and your owners
For an Iowa LMHC or LMFT opening a private practice, start by reviewing the professional entity requirements before filing a standard LLC. Tell us which licenses you hold, whether you will work independently or under supervision, and who will own the business. We can then help choose and form the appropriate structure.
An ordinary LLC can own many kinds of businesses. That does not automatically authorize it to provide a regulated professional service. Iowa includes mental health counseling and marital and family therapy in its professional LLC law. The entity structure and your authority to treat clients are separate questions.

Moving to Iowa, or building your first private practice?
Iowa uses the title licensed mental health counselor (LMHC). If you have been searching for an Iowa LPC or LPCC because that is the title in another state, check your Iowa license status before opening the practice. Iowa’s official family-therapy title is licensed marital and family therapist (LMFT), often called a marriage and family therapist.
Both professions fall under Iowa Code chapter 154D and the Board of Behavioral Health Professionals. Your current license and the services you plan to offer guide the formation conversation.
If you hold a temporary license, often described as tLMHC or tLMFT, bring that detail up first. Section 154D.7 authorizes practice under a qualified supervisor. Forming a PLLC does not remove supervision requirements or make a temporary license an independent-practice license.
A counseling practice with a partner needs more than a filing
A group practice may include different qualifying professionals. Iowa Code §489.1102 permits lawful combinations of mental health counseling, marital and family therapy, psychology, and social work. Do not assume that every owner must have the identical license, or that an unlicensed investor qualifies because the other owner is a clinician.
For example, an LMHC and an LMFT planning to share a practice should address ownership, business decisions, client relationships, and what happens if one partner leaves. Each person’s clinical work remains subject to their own license and scope. Receptionists and other administrative staff do not need clinical licenses merely to perform ordinary nonprofessional duties.

Choose a name and documents that fit the clinical business
Iowa permits both PLC and PLLC in a professional LLC’s name under §489.1103. We suggest PLLC if you may seek recognition in another state, since suffix rules differ. The suffix alone does not establish eligibility to practice in another state.
We review the proposed owners, practice purpose, and name, then prepare the formation and operating documents around that arrangement. If you already formed a DIY LLC, bring the existing paperwork. The next step is to review what you have before assuming that a name change or a second filing solves the issue.
- Bring your license type and current status, including any supervision requirements.
- Identify the owners, planned clinical services, and any other states where you may practice.
- Bring an existing LLC’s formation documents or your proposed practice name.
- Discuss partner departures, ownership changes, and decision-making before signing operating documents.
